Terms of Service

Effective 1 October 2026

These terms are an agreement between ArewaNext Innovations Limited ("we", "us") and the transport company that signs up for TripDesk (the "Operator"). By creating an account or using the service, you confirm that you have authority to bind the Operator to these terms.

The service

TripDesk is a web platform and a ticket officer mobile app for scheduling trips, issuing and scanning tickets, managing fleet and drivers, tracking expenses and revenue, and sending SMS and email notifications. We may improve, change or retire features, and we will give reasonable notice of any change that removes something you rely on.

Accounts and users

  • The Operator's administrator creates staff accounts and assigns their roles and branches.
  • The Operator is responsible for everything done through its accounts, and for removing access when staff leave.
  • Keep passwords private and do not share accounts. Tell us promptly at support@tripdesk.ng if you suspect unauthorised access.
  • Information you give us at sign-up must be accurate and kept up to date.

The Operator's responsibilities

  • Hold every licence, permit and insurance needed to run its transport business in Nigeria.
  • Make sure its vehicles, drivers and trips meet safety and regulatory requirements. We provide record-keeping tools and reminders, not compliance assurance.
  • Enter accurate fares, schedules and passenger details.
  • Have a lawful basis to enter passenger data and to send passengers SMS and email, and give passengers the notices the Nigeria Data Protection Act 2023 requires. See our Privacy Policy for how we act as the Operator's data processor.

We are not the carrier

The contract for carriage is between the Operator and its passengers. TripDesk is software. We do not operate vehicles, employ drivers, guarantee that a trip will run, or handle passenger complaints and claims about journeys.

Fees and payment

Fees are those in the plan or order form the Operator accepted, stated in naira (₦) unless agreed otherwise, and exclude VAT and other applicable taxes. [confirm billing cycle, invoicing and late-payment terms] SMS messages are charged by our provider, so SMS usage may be billed separately.

Acceptable use

You must not:

  • Break any Nigerian law, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, or use the service for fraud or ticket forgery.
  • Try to access another company's data, probe or attack the platform, or bypass its security or usage limits.
  • Upload malware or send spam, or use notifications for messages unrelated to travel.
  • Copy, resell or reverse-engineer the service, except where the law allows.

SMS and email notifications

Notifications are sent through third-party providers and depend on networks we do not control. We do not guarantee that a message will be delivered or delivered on time. Operators should not rely on notifications as the only way to tell passengers about a change.

Your data and our rights

The Operator keeps ownership of its data. It gives us permission to host and process that data to provide the service. We keep ownership of the software, design, trademarks and documentation. You may export your data using the reports and export features while your account is active.

Availability and support

We work to keep the service available, but it may be interrupted for maintenance or by events outside our control, such as power or network failures. Support is provided through support@tripdesk.ng. [add support hours or SLA if offered]

Warranties and liability

The service is provided "as is" to the extent the law allows. We are not liable for indirect or consequential loss, lost revenue, or loss arising from a passenger claim, a vehicle incident, or a failed notification. Our total liability for any claim is limited to the fees the Operator paid in the [12] months before the claim arose. Nothing here limits liability that cannot be limited by law.

Suspension and termination

  • The Operator may stop using the service at any time and close its account with written notice.
  • We may suspend or end access if the Operator breaches these terms, fails to pay, or puts the platform or other users at risk. Where we can, we will give notice first.
  • After closure, the Operator can export its data for [30] days, after which we delete or anonymise it as described in the Privacy Policy.

Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute by good-faith discussion. If that fails, the courts of [City/State], Nigeria have jurisdiction.

Changes to these terms

We may update these terms. We will post the new version here and email account administrators about material changes at least [14] days before they apply. Continuing to use the service after that date means you accept them.
